Legal Support for Businesses Seeking Growth Capital

Our firm advises startups and small and medium-sized enterprises (SMEs) seeking venture capital and other forms of private investment for business growth and expansion.

We provide legal and strategic support throughout the financing process, assisting clients in identifying, approaching, and negotiating with prospective financiers and investors where appropriate.

Our Approach

Unlike firms that act solely as introducers or funding agents, we act as legal advisers representing our clients' interests throughout the financing process. As such, subject to our professional judgment, applicable law, and the client's instructions, we may identify and approach prospective financiers, venture capital funds, private investors, family offices, institutional investors, or other suitable capital providers on the client's behalf.

Our role is to facilitate discussions and negotiations with prospective funding sources while protecting our client's legal and commercial interests. However, the decision whether to provide funding remains entirely with the prospective financier, and no representation is made that financing will be obtained.

Scope of Services

Our services may include:

• Initial assessment of the client's proposed financing objectives.

• Review of the business and proposed funding requirements.

• Assistance in preparing information suitable for presentation to prospective financiers.

• Identification of appropriate funding sources.

• Communications with prospective financiers on the client's behalf.

• Legal support during negotiations.

• Review, preparation, and negotiation of financing documentation.

• Advice on the legal implications of proposed financing arrangements.

• Assistance through completion of the transaction where financing is successfully arranged.

The precise scope of our engagement will be agreed with each client and set out in an engagement letter.

Independent Representation

We are independent of any particular investor, lender, venture capital fund, or financial institution.

Accordingly, we are not restricted to promoting the interests of any single funding source and may, where appropriate, approach those prospective financiers we consider suitable having regard to the client's objectives and instructions.

Our advice is provided solely in the interests of our client.

Legal Representation Throughout the Transaction

Financing transactions frequently involve complex legal and commercial considerations.

Our lawyers advise on matters including confidentiality agreements, term sheets, investment agreements, loan agreements, shareholder agreements, security documentation, corporate approvals, regulatory considerations, and transaction completion documentation.

Where appropriate, we work alongside the client's accountants, tax advisers, corporate finance advisers, and other professional advisers.

Fees

Our fee structure is intended to provide transparency while recognising the nature of financing transactions.

Unless otherwise agreed, our fees comprise:

• a capped onboarding fee payable at the commencement of the engagement; and

• a success fee, the amount of which will be negotiated and agreed with the client before any substantive work is undertaken.

The success fee becomes payable only upon the occurrence of the agreed success event, as defined in the engagement letter. However, client termination of the engagement for convenience attracts a special fee as set out in the engagement letter.

We do not guarantee that funding will be secured, nor do we guarantee the terms upon which any financing may ultimately be offered.

Any decision to invest or lend is made independently by the relevant financier following its own assessment and due diligence.
